ENOUGH ALREADY! It is so aggravating to see a different name on every newsletter, schedule, rules and regulations, permit, letter, invoice, bill, receipt, ballot, etc. Even this year's annual assessment statement (SugarValley Lake HOA, Inc.), the return address stamp on the statement envelope (Sugar Valley-Hidden Valley Lakes Homes Association), and the "official" web site (Sugar Valley/Hidden Valley HOA, Inc.) have different names on them! What, exactly, is the reason for this?
From our Declaration of Covenants and Restrictions:
Whereas, Developer has or will cause to be incorporated under the laws of the State of Kansas, as a non-profit corporation, SUGAR VALLEY LAKES HOMES ASSOCIATION, for the purpose of exercising the functions aforesaid.
From our Articles of Incorporation:
Article 1. Name. The name of this corporation is Sugar Valley Lakes Homes Association.
Article 10. Duration. The corporation shall exist perpetually.
From our SVL-HVL Merger Agreement:
1. Pursuant to the General Corporation Law of the State of Kansas, Hidden Valley shall be and hereby is merged with and into Sugar Valley, which shall be the surviving corporation and shall continue to do business under the name "Sugar Valley Lakes Homes Association" as a non-stock, non-profit corporation organized and existing under the laws of the State of Kansas. This Agreement of Merger shall become effective immediately upon compliance with the laws of the State of Kansas, the time of such effectiveness being hereinafter called the "Effective Date."
From our Bylaws:
ARTICLE I
DEFINITIONS:
Section 1. "Association" shall mean and refer to the Sugar Valley Lakes Homes Association, a non-profit corporation organized and existing under the laws of the State of Kansas.
We have an official name! Why don't we use it? It seems so unprofessional to use so many different names on our documents. Can you imagine how it must confuse "outsiders"? How is anyone not familiar with our organization to know "who" we are? Are we "this one" or "that one"? Which one, of the many, are we?
There is a very good reason why the Homes Association doesn't use the name that you have represented as the official Association name. The reason is that the Legal name of the Homes Association is NOT repeat NOT Sugar Valley Lakes Homes Association. If you go to the State of Kansas Secretary of State's office at the following link:

Last year I informed the webmaster of this website of this but for some reason you continue to publish this name on your website. I have indeed asked the webmaster to discontinue using the name Sugar Valley Lakes Homes Association but to no avail.
The Homes Association needs to use their own LEGAL name (SUGAR VALLEY LAKE HOMES ASSOC, INC.) in all their transactions, documents, bank accounts, etc.
Three times in the history of this Association, the officers have defaulted in their reporting requirements to the State of Kansas. Each time the Association lost their Franchise and requested a revival, they were supposed to follow the revival statutes which requires that the members re-elect the entire board of directors. Each time the Association forfeited its articles and subsequently found out that it had done so, it quietly re-applied to get back its franchise and never informed the membership. Two of these occasions happened in the last five years. The last time was between December 2004 and August 2005. During those eight months the Association was going its merry way operating outside the law and without any authority to conduct any business.
Five months after the Association lost its franchise due to failure to fulfill its reporting responsibities, another entity decided to form a new Association. This new Corporation would be known as SUGAR VALLEY LAKES HOMES ASSOCIATION.
That is the reason why our Association has discontinued using the old name. Now, why they cant use their actual LEGAL name is beyond me. I don't think the management knows the REAL name of the Corporation.
Now, if you decide to publish this comment, all the members can learn the new name of our Homes Association.
